Gotu

Partner terms

The agreements between Gotu and venues that offer deals.

This is a translation. If the English and the Dutch text differ, the Dutch version prevails.

1. Parties and service

These terms apply between Gotu app (Gotu, "Gotu"), Beethovenstraat 25-3, 1077 HM Amsterdam, Chamber of Commerce (KvK) 91569087, and the business that signs up as a venue ("you"). An owner accepts them on behalf of the business when starting to use the portal; we keep the version, the time and who accepted.

Gotu lets guests discover, reserve and redeem your deals on the spot, and gives you a portal (and the Venue tab in the app) to manage deals, opening hours, reservations and invoicing. You decide which deals you offer, under which conditions and with what capacity.

2. Fees and invoicing

Signing up and using the portal is free. You pay per deal that a guest redeems for the first time (processed when your staff enter the guest's code), per month, excluding VAT:

The rate for a month follows valid deal claims and applies to all deals and billable loyalty visits in that month. The previous month's rate carries for one month. A deal counts once, even if several people or parts are redeemed; an invalidated redemption does not count.

A billable loyalty visit is one unique daily check-in (code entered by your staff, or via the API): Bronze €0.50, Silver €0.40 and Gold €0.30. A same-day deal redemption is only a deal claim, never also a loyalty fee.

Commercial modes. Active has no base fee. Discovery is visible without new deals or loyalty visits and costs €15 excluding VAT for every overlapping Amsterdam calendar month. Loyalty is visible with one active loyalty program, without new deals, and costs €39. Discovery and Loyalty do not stack: an overlapping month costs €39 once, with no daily or partial-month fee.

Gotu closes each month and sends an invoice including VAT (currently 21%). Payment within 14 days of the invoice date. The statement shows per deal how the amount is built up; corrections or goodwill are listed separately.

3. Guests' Gotu credit

On by default. Guests can pay with Gotu credit at your venue, from €5 and then in steps of €2.50, during opening hours. The guest chooses beforehand whether the amount goes to food and non-alcoholic drinks or to alcohol; your staff see that choice when confirming, so you can book it under the right VAT rate. This is on by default. You can switch it off per venue under Settings in the portal; this applies immediately to new payments. While it is on, you accept credit as guests see it in the app, and your staff confirm the amount.

Settling. The credit that guests spend at your venue in a month is deducted from your invoice of that month; a surplus from the previous month goes first. If the credit is higher than the invoice, we settle the surplus against the next invoice for one more month.

Payout. What is still left after that, we transfer to your business's IBAN; you enter it under Invoicing in the portal. If a payout is higher than €100, Gotu first reviews it manually, among other things for unusual concentration of invitations or credit at your venue. Gotu may declare credit and payments that are shown to rest on misuse invalid and offset them.

4. Visibility and ranking

Every newly published venue starts Active; its partial launch month is grace. After that, Active requires either 10 valid deal claims or 40 billable loyalty visits in a complete Amsterdam calendar month (the counts do not combine). The owner preselects next month's fallback: Inactive, Discovery or Loyalty. On underperformance Gotu changes to that fallback on the first day of the next month; an inactive Loyalty program makes the fallback Inactive. Gotu moderation is separate and can always keep a venue hidden.

5. Your obligations

6. Guest data

Of guests you only see what you need to welcome them: first name, party, reservation and redemption code, plus counts about your own venue. For that data you act as an independent controller: you use it solely to carry out the reservation and redemption, secure it appropriately and do not use it for your own marketing. Gotu processes the data of your team and your business as described in the privacy policy. Gotu may, under the same conditions as for all venues, show data about your venue (such as your name, address, opening hours and deals) to guests and use it for statistics in aggregated form.

7. Subscriptions

With a subscription you sell guests, for a fixed amount per 4 weeks, a fixed number of non-alcoholic dishes or drinks that they claim with a 4-character code. Besides the rest of these terms, the rules below apply to subscriptions.

Acceptance. These rules apply to your business as soon as an owner publishes a subscription for the first time; you accept them at that moment. We keep the version of this part, the time and who accepted. If you do not offer subscriptions, you do not have to accept this part.

Fee. You pay €2.50 per paid term of 28 days, excluding VAT. A term counts in the Amsterdam calendar month in which your staff entered the guest's payment, so once, even if the term spans two months. A term that is reversed (for example because the guest did not pay after all) is not invoiced.

Minimum. For each venue that offers subscriptions in a month, you pay at least €35 excluding VAT. You offer subscriptions in a month if a subscription that includes your venue is "coming soon", "active" or "paused" on at least one day of that month, or if a term was paid at your venue that month. So per venue you pay the higher of €35 and €2.50 times the number of terms paid at your venue. If a subscription covers several venues, the minimum applies to each venue separately.

Invoicing. This fee appears on the same monthly invoice as the rest (including VAT, currently 21%, payable within 14 days). It is separate from Bronze, Silver and Gold and from Discovery and Loyalty, and does not count towards staying Active.

You deliver. You sell and deliver the subscription: the guest pays you, in your till, and you honour what the subscription promises. Gotu does not take payment from the guest, does not settle anything with the guest and is not a party to the sale. You handle refunds, complaints and questions from guests about a subscription. Gotu generates the guest terms from your settings; your own description does not override them.

Closed days. On a day your venue is closed, a guest does not accrue a claim and the term does not get longer. If you want to offer a guest something in return, you decide and arrange that yourself. See also section 9.

VAT and bookkeeping. The VAT and bookkeeping of your subscriptions are your responsibility. Gotu does not give tax advice; whatever the portal explains about it, for example how to set it up in your till, is an aid and not advice. In doubt? Ask your accountant.

No alcohol. You do not include alcohol in a subscription. Gotu can refuse or stop a subscription that includes alcohol anyway.

Guest data. With a subscription code your staff see the guest's full name, so they can ask for ID in case of doubt. You use that name only for that purpose; section 6 otherwise applies.

Changes. If a venue changes the price or content of a subscription, that applies to existing members only from their next period. Gotu can change the subscription fee only under section 8: with at least 30 days' notice. If you disagree, you can stop your subscriptions before the change takes effect.

8. Changes and ending

Changes. Gotu can change rates and these terms. Gotu notifies you at least 30 days in advance by email and in the portal; new versions must be accepted again by an owner. If you disagree you can end the agreement before the change takes effect. Changes that the law or a safety matter requires immediately may take effect sooner.

Ending. You can stop at any time: email support@gotu-app.com; the agreement then ends at the end of that month. You honour and settle reservations and redemptions up to that moment. Gotu can also end the agreement with 30 days' notice, and immediately in case of serious misuse or non-payment, with a statement of reasons. A venue that Gotu suspends or removes receives a statement of reasons in advance or immediately afterwards.

Afterwards. Your data in the portal is kept as described in the privacy policy; invoicing data for 7 years.

9. Your responsibility for offer, information and guests

Gotu is the platform on which guests find your venue and which records what they reserve, collect and claim. Gotu plays no part in delivering your service to the guest. This applies to everything you offer through Gotu: deals, loyalty (rewards and stamps) and subscriptions.

You alone are responsible for:

Indemnity. If a guest or another third party makes a claim against Gotu that arises from your service, your information or from not honouring a deal, reward or subscription, you hold Gotu harmless: you pay the damage and the reasonable costs, including legal assistance. This does not apply to the extent the damage results from Gotu's own error (see below), nor in case of intent or deliberate recklessness on Gotu's part. Gotu will let you know about a claim as soon as possible.

What lies with Gotu. Gotu is responsible for its own platform and technical infrastructure: the app, the portal, the API and the registration of codes, stamps, credit, claims and terms. If something goes wrong there, for example through an outage, a code that does not work or a wrongly registered stamp, claim or term, Gotu will correct the error as soon as it knows about it and, where necessary, correct the registration and the invoicing. Where reasonable, Gotu makes up for it to guests in kind, for example by restoring a claim, stamps or credit or by extending the term of a subscription. You honour what Gotu restores in this way. This is a commitment to put Gotu's errors right; section 10 applies for the rest.

10. Liability

Gotu is only liable to you for direct damage, up to at most the amount you paid to Gotu in the 12 months before the event causing the damage. Gotu is not liable for indirect damage, such as lost turnover, nor for disruptions beyond its control. This does not apply in case of intent or deliberate recklessness on Gotu's part, or to the extent that the law does not permit it.

Gotu is not liable for damage that arises from your service, your information or from not honouring a deal, reward or subscription (section 9), to the extent the law permits.

11. Complaints and disputes

Do you have a complaint about Gotu, for example about your visibility, a suspension or an invoice? Email support@gotu-app.com. We confirm within 5 working days and respond on the substance within 15 working days. If we cannot resolve it together, we can engage a mediator by agreement; as a small business Gotu is not required to designate standing mediators. Dutch law applies to these terms; disputes go to the competent court in the Netherlands.

These terms are version 4, valid from 1 november 2026. Report security problems to security@gotu-app.com.
